Vendor Restrictions and Obligations:

From time to time, Company may offer certain events and conferences, including, without limitation, Invest Fest (each, an “Event“). Company may offer third parties the opportunity to apply to become a vendor at an Event (each, a “Vendor“). Persons who register to attend an Event (“Attendees“) may be required to provide certain personal information, including name, phone number, and email address (“Attendee Personal Information“). Company may, in its sole discretion, choose to share or disclose Attendee Personal Information with a Vendor. Should Company share or disclose any Attendee Personal Information to Vendor, each Vendor agrees that following terms and conditions shall apply:

1. Use Restrictions. Vendor shall only use the Attendee Personal Information for the sole and limited purpose of contacting the Attendee by phone or email in order to market and/or promote the Vendor’s own goods and services to the Attendee (the “Purpose“). Vendor shall not disclose, release, distribute, or deliver the Attendee Personal Information, or any portion thereof, to any third party and shall not rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Attendee Personal Information. Any purpose or use of the Attendee Personal Information not specifically authorized herein is strictly prohibited.

2. Security. Licensee shall use all reasonable legal, organizational, physical, administrative, and technical measures and security procedures to safeguard and ensure the security of the Attendee Personal Information and to protect the Attendee Personal Information from unauthorized access, disclosure, duplication, use, modification, or loss.

3. Disclaimer of Warranties. ALL ATTENDEE PERSONAL INFORMATION, IF ANY, PROVIDED TO VENDOR IS PROVIDED “AS IS” AND COMPANY HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. COMPANY MAKES NO WARRANTY OF ANY KIND REGARDING THE ATTENDEE PERSONAL INFORMATION.

4. Indemnification. Vendor shall indemnify, hold harmless, and, at Company’s option, defend Company from and against any and all losses, damages, liabilities, or costs (including reasonable attorneys’ fees) (“Losses“) incurred by Company resulting from any third-party claim, suit, action, or proceeding (“Third-Party Claim“) based on Vendor’s: (i) negligence or willful misconduct with respect to the Attendee Personal Information; or (ii) use of the Attendee Personal Information in a manner not authorized by these Terms of Service, provided that Vendor may not settle any Third-Party Claim against Company unless such settlement completely and forever releases Company from all liability with respect to such Third-Party Claim or unless Company consents to such settlement, and further provided that Company shall have the right, at its option, to defend itself against any such Third-Party Claim or to participate in the defense thereof by counsel of its own choice.

5. Limitations of Liability. IN NO EVENT WILL COMPANY BE LIABLE TO VENDOR UNDER OR IN CONNECTION WITH THE SHARING OR DISCLOSURE OF ANY ATTENDEE PERSONAL INFORMATION UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES, (b) INCREASED COSTS, DIMINUTION IN VALUE, OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS, (c) LOSS OF GOODWILL OR REPUTATION, (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY ATTENDEE PERSONAL INFORMATION, IN EACH CASE REGARDLESS OF WHETHER COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE.
